1. Agreement to Terms

These Terms and Conditions are an agreement between you and RankCited ("we", "us"). By creating an account or using RankCited, you agree to them, to our Privacy Policy and Refund Policy, and, where it applies, to our Data Processing Agreement. If you accept for a company, you confirm you may bind it. If you do not agree, do not use the service.

RankCited is a business service. You must be at least 18 and use it for your business, not as a consumer, except where the law of your country gives consumers rights that cannot be excluded.

2. Description of Service

RankCited is a managed AI-visibility service. Clients subscribe to monthly or yearly plans under which RankCited measures the client's presence in AI-generated answers and plans and executes editorial placements, branded mentions, and content on third-party publications. Publishers join RankCited's network to publish such content and receive a fixed payout per placement. RankCited selects publications and manages fulfilment on the client's behalf.

Visibility, ranking, and citation outcomes depend on third parties — publishers, search engines and AI assistants — and are not guaranteed. RankCited commits to best-effort execution and transparent reporting. RankCited is not responsible for the editorial content of third-party websites beyond the placements it arranges.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

4. Subscriptions, Renewal and Credits

• All payments are processed through Stripe. Plan fees are charged in advance for each billing period, monthly or yearly as you choose.
• Plans renew automatically at the end of each billing period at the then-current price until you cancel. We will tell you by email before any price change takes effect, and before a yearly plan renews.
• You can cancel at any time from your dashboard or by emailing us. Cancellation takes effect at the end of the billing period you have already paid for.
• One credit is one US dollar and pays for placements and action-plan work alike. Monthly plan credits that are not used within the billing cycle expire and do not roll over; purchased credits remain valid for twelve months.
• Prices exclude taxes unless shown otherwise; you are responsible for any applicable sales, use or value-added tax.
• Refunds are governed by our Refund Policy. Because outcomes depend on third-party publishers and AI engines, fees are not refundable on the basis of visibility, ranking, or citation results.

5. Client Responsibilities

Clients using RankCited agree to:

• Provide accurate goals, target URLs, and brand information, and only submit brands and websites they are authorised to promote
• Not request links to illegal or prohibited content
• Review content we prepare for their own websites before publishing it, and remain responsible for claims made about their own products
• Communicate professionally with RankCited staff and publishers

6. Publisher Terms

Publishers using RankCited agree to:

• Only add websites they own or have authorization to manage
• Provide accurate website metrics and information
• Publish accepted briefs within the agreed turnaround time
• Maintain link placements for the agreed duration
• Not engage in fraudulent or deceptive practices

Publishers are paid the agreed fixed payout once a placement is live and confirmed. If a placement is removed within the agreed duration, the payout may be reversed or deducted from future payouts. Publishers act as independent contractors, are responsible for their own taxes, and must provide the tax forms we request (for example IRS Form W-9 or W-8) before payouts are released.

7. Prohibited Content and Use

The following is prohibited on our platform:

• Illegal content or links to illegal websites
• Adult or explicit material
• Malware, phishing, or harmful software
• Content that infringes intellectual property rights
• Hate speech or discriminatory content
• Scraping, reverse-engineering or reselling the service without our written permission, or trying to break its security

8. Content and Intellectual Property

• You keep ownership of the brand names, logos, text and data you give us. You grant us a licence to use them only to provide the service to you.
• Once you have paid for it, content we write for you is yours to use, and you may edit it freely. Content published on a third-party website is also subject to that publisher's rights and policies.
• Some content is drafted with the help of AI tools and reviewed by us. You are responsible for checking facts about your own business before relying on it.
• RankCited's software, reports design, methods and brand remain ours. You may share your own reports freely.

9. Suspension and Termination

You may close your account at any time. We may suspend or close an account that breaks these terms, fails to pay, or puts other users, publishers or the service at risk. Where we can, we will warn you first and give you a chance to fix the problem. If we close your account without cause, we refund any unused purchased credits. Sections 8, 10, 11, 12 and 13 survive termination.

10. Disclaimer of Warranties

Apart from the commitments stated in these terms and our Refund Policy, the service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant any ranking, citation, traffic or revenue result.

11. Limitation of Liability

RankCited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue or data, resulting from your use of the service. Our total liability shall not exceed the amount paid by you in the past twelve months. Nothing in these terms limits liability that cannot be limited by law.

12. Indemnification

You agree to defend and indemnify RankCited against third-party claims arising from content, brands or websites you provide, or from your breach of these terms or of the law.

13. Governing Law and Disputes

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Before starting any claim, please email us so we can try to resolve it informally within 30 days. Any dispute that is not resolved will be heard by the state or federal courts located in Delaware, and both parties consent to their jurisdiction. This does not remove any right a consumer has to bring a claim in their own country.

14. Changes to These Terms

We may update these terms as the service changes. We will update the date at the top and, for material changes, email account holders at least 30 days before they take effect. Continuing to use the service after that date means you accept the new terms; if you do not, you can cancel before then.

15. General

These terms, together with the policies they reference, are the entire agreement between us about the service. If a provision is found unenforceable, the rest remains in force. Not enforcing a right is not a waiver of it. You may not transfer your account without our consent; we may assign these terms as part of a merger or sale of our business. Neither party is liable for delays caused by events beyond its reasonable control.
